ANY.RENTALS TERMS OF SERVICE

Effective Date: The date you register and create an account on Any.Rentals.

Welcome to Any.Rentals, a software-as-a-service platform provided by System9, LLC (“Any.Rentals,” “we,” “us,” or “our”). These Terms of Service (the “Agreement”) govern your access to and use of our website, platform, services, and related features (“Services”). By creating an account, accessing, or using the Services, you ("you", "your", "customer") agree to be legally bound by this Agreement.

1. Description of Services

Any.Rentals provides a SaaS platform enabling rental companies to manage sales and rental inventory, orders, logistics, invoicing, payments, and related business operations. Any.Rentals is not a broker, agent, or insurer, and does not guarantee or endorse any specific listing, transaction, or customer interaction on the platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts.

If you are registering or using the Services on behalf of a company, organization, or other legal entity ("Entity"), you represent and warrant that you have the authority to bind that Entity to this Agreement. If you do not have such authority, or if you do not agree with these Terms, you must not use the Services.

3. Account Registration

You agree to provide accurate, complete registration information and to update it as necessary. You are solely responsible for all activity under your account and for maintaining the confidentiality of your login credentials. We are not liable for unauthorized access resulting from your failure to protect your credentials.

4. Limited License and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only, subject to this Agreement.

You shall not:

• Copy, modify, distribute, sell, or lease any part of the Services;

• Reverse-engineer, decompile, or attempt to extract source code;

• Allow unauthorized third parties to access or use the Services;

• Use the Services in violation of applicable law or third-party rights.
  

5. Content Ownership and License

You retain ownership of all content you upload or transmit (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, display, and transmit the content solely as necessary to operate, maintain, and improve the Services.

We may retain copies of deleted content for backup, legal compliance, or archival purposes. You warrant that you have all necessary rights to submit such content and that it does not infringe third-party rights or violate law.

6. Prohibited Conduct

You agree not to:

• Use the Services for illegal or fraudulent purposes;

• Upload viruses, malware, or harmful content;

• Interfere with, disrupt, or compromise the security or integrity of the Services;

• Misrepresent your identity or affiliation;

• Attempt to gain unauthorized access to the platform or other users’ data.

7. Trial Use of Services

From time to time, Any.Rentals may offer free or limited-time trial access to paid features or service tiers (“Trial Services”). Trial access is granted at Any.Rentals’ discretion and may be revoked at any time.

All Trial Services are provided “as-is” with no warranties of any kind. Any.Rentals is not liable for any data loss, interruption, or other issues during the trial period. Upon expiration, access will revert to the applicable free plan or be suspended unless converted to a paid subscription.

8. Billing and Subscription / Automatic Renewal

Your subscription is subject to the fees, payment terms, and billing cycle presented during signup. All subscriptions renew automatically unless canceled before the renewal date. All subscription fees are non-refundable.

You authorize us (or our payment processor) to charge your payment method for all recurring and usage-based fees.

You may cancel renewal by providing written notice:

• At least 7 days before the renewal date for monthly subscriptions

• At least 30 days before the renewal date for annual subscriptions

Any.Rentals may update pricing or plan details prior to renewal by providing written notice at least:

• 14 days prior for monthly subscriptions, or

• 30 days prior for annual subscriptions

Your continued use after the subscription renewal date constitutes your acceptance of the new pricing or plan details.

8.1 RentAlert Messaging

The RentAlert feature allows you to send SMS alerts and is billed at $0.05 per message. You are solely responsible for monitoring usage. All RentAlert charges are final and non-refundable.

8.2. Non-Payment and Suspension

If you fail to pay fees when due, we may, without notice or liability:

• Suspend or restrict platform access;

• Downgrade or convert your account to read-only mode;

• Impose late fees or reactivation charges;

• Terminate your account and delete data after 30 days of delinquency.

You remain responsible for all charges incurred. We are not liable for loss of data or settings resulting from suspension or termination.

9. Data Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Services, you consent to our data practices as described therein.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

11. Limitation of Liability

To the fullest extent permitted by law, Any.Rentals’ total liability for any claim under these Terms shall not exceed the total fees paid by the customer during the two (2) months preceding the incident. Any.Rentals shall not be liable for any indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of data, or business interruption.

12. Indemnification

You agree to indemnify, defend, and hold harmless Any.Rentals, its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, or expenses (including attorneys’ fees) arising from:
(a) Your use or misuse of the Services;
(b) Your User Content;
(c) Your breach of this Agreement or applicable law.

13. Termination

We may suspend or terminate your access to the Services, with or without notice, for any breach of this Agreement, failure to pay, or misuse of the platform. Upon termination:

• All licenses granted to you end immediately;

• Your account and access to data may be deleted;

• You remain liable for outstanding fees.

Termination does not affect any rights or obligations that accrued prior.

14. Intellectual Property

All software, designs, trademarks, documentation, and other elements of the Services are owned by or licensed to Any.Rentals and are protected by U.S. and international IP laws. No rights are granted except as expressly stated in this Agreement.

15. Data Ownership and Retention

All data entered into the platform by the customer (“Customer Data”) remains the property of the customer. Upon termination, customers may request a data export within 30 days. Any.Rentals is not obligated to store or return Customer Data after this period and may charge a fee for any post-termination assistance.

16. Anonymized Data Usage

Any.Rentals reserves the right to use anonymized or aggregated Customer Data for analytics, benchmarking, product improvement, or marketing purposes. No personally identifiable information will be included.

17. Updates to Terms

We reserve the right to modify, amend, update, or replace any part of this Agreement at any time, at our sole discretion. Updated versions will be posted on our website at https://any.rentals or within the platform.

You acknowledge and agree that:

• It is your responsibility to review this page periodically for changes.

• We may, but are not required to, notify you directly of material updates (e.g., by email or in-platform alerts).

• Your continued use of the Services after any changes are posted constitutes your binding acceptance of the revised Terms.

• If you do not agree to the updated Terms, you must discontinue use of the Services.

18. Data Security and Breach Disclaimer

We implement commercially reasonable administrative, technical, and physical safeguards to protect the integrity, availability, and confidentiality of data stored on or processed through the Any.Rentals platform. However, no system can be guaranteed to be 100% secure.

You acknowledge and agree that:

• We do not guarantee that unauthorized third parties will never be able to defeat our security measures or misuse your data;

• In the event of a data breach, Any.Rentals will provide notification as required by applicable law and take reasonable steps to mitigate the effects;

• Any.Rentals is not liable for any loss, theft, unauthorized disclosure, or alteration of data, including any data belonging to you or your customers, unless caused by our gross negligence or willful misconduct.

19. Beta Features

We may offer experimental or beta features. These features are provided “as is” and may be modified, discontinued, or removed at any time without notice. Use of beta features is at your own risk.

20. Third-Party Services and Integrations

The Services may contain links to or integrate with third-party services (e.g., payment processors, accounting systems, etc). Any.Rentals is not responsible for the availability, functionality, or data handling of such third-party services. Use of those services is at your own risk and subject to separate terms provided by the third-party.

21. Custom Development and Additional Work

Any.Rentals may, at its discretion, provide feature enhancements or custom development services (“Custom Features”) beyond the standard functionality available under the selected subscription.

Unless otherwise agreed in writing, all Custom Features are:

• billed separately from the standard subscription,

• subject to a written quote and customer approval before commencement, and

• charged at Any.Rentals’ then-current hourly or project-based rates, which may include discovery, design, implementation, testing, and deployment time.

Custom Features are provided on an “as-is” and “as-available” basis. Any.Rentals makes no warranties regarding the fitness or error-free performance of Custom Features unless otherwise specified in writing. Ownership of all intellectual property developed under a Custom Feature engagement remains with Any.Rentals.

Any.Rentals reserves the right to decline or discontinue development of a requested Custom Feature at its sole discretion.

22. Service Uptime, Maintenance and Availability

We strive to maintain platform availability but do not guarantee uninterrupted access. Any.Rentals may perform scheduled or emergency maintenance from time to time. We will attempt to notify customers in advance of scheduled maintenance that may impact availability. Emergency maintenance may occur without notice. Scheduled maintenance, force majeure events, or technical failures may cause downtime. We are not liable for any business losses due to service interruptions. Functionality of the Services may change at Any.Rentals’ discretion, and no guarantee is made that specific features will remain unchanged.

23. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, labor disputes, terrorism, supply shortages, civil unrest, cyberattacks, or government actions.

24. Compliance with Laws

You are solely responsible for complying with all laws and regulations applicable to your use of the Services, including but not limited to privacy laws, tax collection laws, and telecommunication laws (e.g., for SMS messaging).

25. Feedback

If you provide suggestions or feedback about the platform, we may use such feedback freely, without any compensation or obligation to you.

26. Publicity & Marketing Rights

Unless expressly opted out in writing, You grant Any.Rentals the right to use Your business name and logo in our marketing materials, website, press releases, and customer listings. This use will be limited to identifying You as a user of the Any.Rentals platform.

27. Severability and Waiver

If any provision of this Agreement is found to be unenforceable, the remainder will remain in full force. Our failure to enforce any provision does not waive our right to do so in the future.

28. Assignment

You may not assign or transfer this Agreement without our prior written consent. Any attempted assignment without consent is void. We may assign this Agreement without restriction.

29. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of Idaho, without regard to its conflict of laws principles. All disputes shall be subject to the exclusive jurisdiction of the state and federal courts in Bonner County, Idaho.

30. Entire Agreement; Survival

This Agreement constitutes the entire agreement between you and Any.Rentals regarding the Services and supersedes all prior understandings, whether written or oral.

Any provisions of this Agreement that by their nature should survive termination shall survive termination, including but not limited to those relating to content ownership, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
